These Terms & Conditions ("Terms") govern your access to and use of Conopeum ("Service"), provided by SO Services, LLC ("Conopeum", "we", "us", or "our"). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. Who you are contracting with

The Service is provided by SO Services, LLC, doing business as Conopeum. You are entering into a binding agreement with SO Services, LLC. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

2. The Service

Conopeum connects one or more Google Mail accounts to a shared task workspace with two-way Google Tasks sync, calendar, customer records, and AI-assisted planning. We do not guarantee that the Service will be uninterrupted, error-free, or always available.

3. Acceptable use

You agree that you will not, and will not allow others to:

• use the Service for any unlawful purpose or in violation of any law;
• send spam, phishing, fraudulent, or otherwise harmful messages through the Service;
• infringe the intellectual property rights of others;
• probe, scan, scrape, or test the vulnerability of the Service, introduce malware, or interfere with the operation of the Service or other users.

4. Accounts and credentials

You must provide accurate information when creating an account and keep it current. You are responsible for safeguarding your login credentials and any activity that occurs under your account.

5. Intellectual property

Conopeum and SO Services, LLC retain all right, title, and interest in and to the Service, including the software, documentation, designs, and branding. We grant you a limited, non-exclusive, non-transferable right to use the Service within your selected plan. You may not reverse engineer, resell, redistribute, or circumvent any technical limits of the Service.

6. Your content

You retain ownership of the content you submit to the Service (including emails, tasks, and customer records). You grant us a limited license to host, process, and display that content solely as needed to provide the Service to you.

7. Payment, subscriptions, refunds, and taxes

Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns. Billing, payment methods, taxes, cancellations, and refunds are governed by Paddle's Buyer Terms and our Refund Policy.

8. Suspension and termination

We may suspend or terminate your access to the Service if you materially breach these Terms, if your account becomes delinquent, if your activity creates a security or fraud risk, or if you repeatedly violate our acceptable use rules. You may stop using the Service and cancel your subscription at any time.

9. Disclaimers

The Service is provided "as is". To the fullest extent permitted by law, we disclaim all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement.

10. Limitation of liability

To the fullest extent permitted by law, our aggregate liability arising out of or relating to the Service will not exceed the fees you paid us in the twelve (12) months preceding the event giving rise to the claim. We will not be liable for indirect, consequential, special, incidental, or punitive damages, including loss of profits, data, or goodwill. Nothing in these Terms excludes liability that cannot be excluded under applicable law (such as for fraud, death, or personal injury caused by negligence).

11. Indemnification

You agree to indemnify and hold harmless SO Services, LLC from claims arising out of the content you submit, your unlawful use of the Service, or your breach of these Terms.

12. AI features

The Service includes AI-assisted features that summarize email and suggest tasks. Outputs from AI features may be inaccurate or incomplete and should not be relied upon as legal, financial, medical, or other professional advice without human review. You are responsible for your prompts, how you use the outputs, verifying their accuracy, and for having the rights to any content you input. We may remove or restrict content and filter outputs to enforce these Terms.

13. Governing law and disputes

These Terms are governed by the laws of the State in which SO Services, LLC is organized, without regard to its conflict of laws rules. The state and federal courts located there will have exclusive jurisdiction over any dispute arising out of or related to these Terms or the Service.

14. Changes

We may update these Terms from time to time. We will post the updated Terms here with a new "Last updated" date. Material changes will be notified by email or in-product notice. Continued use of the Service after changes take effect constitutes acceptance.
